With reference to your request submitted to us via the letter of the Presidency of the Jewish
Community in Baghdad No. 8294 and dated 26 / 6 / 45
Based on the authority granted to us under Article
Seven of the Law on the Formation of Societies for the year 1922, we authorize
you to establish a society in Baghdad under the name (Society for Aiding Poor Girls
for Marriage) provided that you follow the provisions of the aforementioned law
and the bylaws attached to your request after introducing the following amendments to it.
1- Replacing the phrase (to the administrative committee) mentioned in
Article four thereof with the phrase (to the society)

Bylaws of the Association for Assisting Poor
Israelite Girls for Marriage
Founding of the Association
1- This association is called "The Association for Assisting Poor
Israelite Girls for Marriage".
2- This association was founded for the purpose of assisting poor Israelite
girls for marriage with material assistance to facilitate the matter of
their marriage or finding various jobs and professions for them through which
they obtain money that facilitates the matter of their marriage, and it has no involvement
in politics.
3- This association was founded by - Ibrahim Eliyahu Shashua
and Haskeil Murad the lawyer and Haskeil Ezra Shoa Meir
2- Placing the phrase (Subject to the provisions of this system) at
the beginning of Article 12 thereof and adding the phrase (provided that all of
this shall not be effective until the approval of the competent
official authority is obtained) to the end of it.

B - No one under twenty years of
age or who has been deprived of civil rights shall be accepted for membership.
6 - The members of this association shall hold an ordinary general meeting at
the beginning of every three years to elect a management committee
for the aforementioned term, and the management committee must prepare for this
meeting at the appointed time.
7 - An extraordinary meeting may be held at any time during the
three years whenever circumstances require the performance of some
necessary tasks, and these sessions are held either (1)
by a direct decision of the administrative committee or (2) based on a
written request submitted by at least twenty members to
the secretary, in which they state the purpose for the meeting.
8 - A - The attendance of one-third of the association's members is considered a quorum
for the convening of the general meeting, and if a quorum is not achieved

4 - The center of the association is in Baghdad, and the association may own
or rent a house for the purpose of using it as a headquarters for its meetings
and its activities.
Formation of the Association
5 - A - The number of members of the association is unlimited, and the members are
the individuals who pay an annual subscription of not less
than one dinar, and they have the right to participate in voting.
There is no objection to accepting subscriptions of less than this
amount, provided that their owners do not acquire the status of membership.

until the committee cancels them or the general meeting annuls them. However,
all of that shall not be effective until after obtaining
the approval of the competent official authority.
13 - Decisions are issued by the committee by majority, and each of
those present at the meeting has one vote, while the chairman
has one additional vote which he uses in the event of equal
opinions.
14 - The secretary records the minutes of the meetings and the committee's work
in a special register known as the minutes register, and it is signed by
the members present at the end of each meeting, and the committee
must organize a book to record the names of participants
and donors and the amounts of their subscriptions and donations under
a serial number; likewise, it shall adopt the necessary books
for accounts, and the committee shall decide what is necessary for the validity of
their maintenance, and the chairman or his deputy in participation with

The meeting shall be postponed to another time not exceeding a month.
In the postponed meeting, business shall be conducted at the
appointed time, provided that the number of members present is
not less than twenty members.
B - Decisions in the general meeting shall be taken by a majority
of votes, and the chairman of the meeting shall have a casting vote in the
event of a tie.
C - The Chairman of the Management Committee is the one who presides over general
meetings, and in his absence, the Vice-Chairman shall preside, and in the
absence of both, those present shall elect from among themselves someone
to preside over the session.
D - At the ordinary general meeting, the members shall appoint
two auditors to examine the association's accounts for the period
preceding the meeting and to present a detailed statement thereof.

The Administrative Committee and its Duties
9- A- The Administrative Committee shall consist of seven members elected
at the general meeting and shall manage the association's affairs for a period of three
years, and they shall elect from among themselves a president, a vice
president, and a secretary.
B- The committee may, from time to time, appoint a person or
persons to participate with it in an advisory capacity for a purpose
or purposes specific to the association's affairs.
10- Committee members may be re-elected by majority vote upon
the conclusion of their term, and if a member of the committee resigns,
the committee shall elect another person in their place. However, if
the number of original committee members resigning
one after another reaches four, the entire committee shall be re-elected,
and until that is completed, the committee remains in office with what

The Secretary shall give a receipt for the amounts received
by the association, signed and stamped with the committee's seal
and numbered with a serial number.
15- Signing checks, contracts, and official documents
and every other document on behalf of the association,
and representing the association in courts and before official authorities
in general, belongs to the chairman of the committee with the Secretary
or the vice-chairman with the Secretary, acting jointly.
16- The Secretary must prepare every year a statement of the association's activities
during the year and a table showing the association's financial
position at the end of December of the previous year,
and an income and expenditure account for the twelve months
ending in December; these tables and the statement
shall be presented to the association at its ordinary general meeting.

17- The association's funds consist of subscriptions, donations,
and gifts collected by it or returned from its members or
others, and from the proceeds of the concerts it holds, and from
the yield of endowments dedicated to it, and from the allocations
of the community fund decided by the Community Council
from time to time, and from all other sources decided by
the Community Council or the General Assembly.
18- All lands and roofed properties purchased by the association
shall be registered as property in its name at the Land Registry Office (Tabu), to be disposed of
as owners do, in accordance with what it deems appropriate for the association's purposes.
19- a- The funds and general management of the association are entrusted to
the Administrative Committee, which is responsible for keeping the books,
controlling the accounts, collecting revenues, and spending
funds. It has the right to employ staff, collectors,
and servants as needed, while observing
economy.

is authorized to establish provisions it deems necessary to meet temporary
needs and to secure the interest of the society or its work system
and these provisions shall remain in effect and must be observed

22 - The decision to dissolve the association and liquidate it is entrusted to a general
meeting, and this decision must be confirmed in another
general meeting, and at least twenty days must pass between
the holding of the two aforementioned meetings. To decide on the dissolution of
the association and its liquidation, the approval of two-thirds of the members
present in each of the two general meetings held
for this purpose is required. If the decision to dissolve the association
and liquidate it is made according to this article, the association in
its general meeting may decide to transfer all of its holdings
of funds whatsoever to the Communal Council
to distribute that to similar charitable associations.

b - Every expenditure shall be by the decision and approval of the committee.
20 - The Association's funds shall be kept in the bank designated by
the committee in Baghdad, and sums shall be withdrawn from the bank on
the account and in the name of the Association. It is permissible to keep amounts
less than one hundred dinars with one of the money changers.
General Provisions
21 - a - Every proposal to amend these bylaws requires a majority of
two-thirds of the members present at the general meeting. If
a proposal to amend these bylaws is accepted or rejected in
an extraordinary general meeting, the same matter may not be
reintroduced for discussion in another extraordinary general meeting
before the Association's regular general meeting.
b - Every amendment to these bylaws must be reported immediately to
the competent authorities after the approval of the Ministry of Interior.

Charitable Sewing and Embroidery School for Girls) belonging to our association named (Association for the Assistance
of Poor Israelite Girls for Marriage), the establishment of which was approved by the esteemed Ministry
of Interior. We have followed up with the Directorate of Education of Baghdad Province regarding the two mentioned petitions repeatedly
but have not obtained the desired necessary response until now. This is despite the fact that the
Local Education Presidency had authorized us ⟦to open⟧ literacy classes for teaching the basics of reading and writing
for the first two grades in the aforementioned school, and we attached this license to our petition
just as we attached a copy of our letter addressed to the Ministry of Education regarding the mentioned opinion. So, if you would
kindly consider, we received a letter from ⟦the side of⟧ the Directorate of Education of Baghdad Province informing us
to submit a new request to open the mentioned school.
