Internal Regulations of the Committee of Israeli Hospitals in Baghdad

5- The committee's discussions and decisions are recorded by the secretary or whoever is delegated for that purpose in a special register
and presented to the committee at the next meeting for approval and signature by the president and the members
who attended that session.
6- A quorum for the committee consists of four members, and if a quorum is reached, the majority is three votes, and if
more than the quorum is present, decisions are taken by a majority of votes, and if equal, the side with the
president prevails. Furthermore, if a quorum is not reached in a session, the following session may be held if
three members attend, provided that decisions in that session are taken by consensus, and it is required in
this case that no decision be taken on any subject that was not recorded in the agenda of the previous session
in which a quorum was not reached.
7- The committee holds its meetings ⟦...⟧ once every two weeks at least, and it may establish the rules it
deems appropriate for organizing its meetings and work and how to distribute tasks among its members.
8- If a member is absent from attending five consecutive sessions without any legitimate excuse,
he is considered resigned, and he is notified of this by the committee, and a copy of it is sent to the Lay Council for information
and to appoint a member to fill the vacancy, provided that the provisions of Article (10) of these regulations
apply to the member appointed in this manner.
9- Resignations of members are submitted to the Lay Council with a copy to the committee, and if
the said Council accepts the resignation, it appoints another member based on the committee's nomination to fill the vacancy,
and Article (10) of these regulations applies to the new member.
10- Three members withdraw by lot after three years from the date of implementation of these regulations, and the
other four step down after six years from the said date. The committee shall nominate, at least one month before the end
of the membership term, the names of others to be appointed in their place, provided that the
withdrawing member may be reappointed for one or more times, and this method applies during successive years.

Duties of the Chairman
12 - If the Chairman of the Committee is unable to perform any of the powers and duties assigned to him under
this regulation for any reason, the Vice-Chairman shall act on his behalf.
Subcommittees
13 - The Committee may appoint subcommittees from among its members or others to perform special tasks, and if the appointment
of such committees is for the purpose of collecting donations and subscriptions, the Community Council shall be informed thereof.
Responsibility of the Committee
to the Committee
13 - The Committee shall be responsible to the Community Council for the management of all the work of the health institutions from
the technical, financial, and administrative aspects, and it may establish the necessary regulations to ensure that.
Emergency Cases
14 - In emergency and urgent cases where the Committee cannot be convened to take decisions regarding them, the
Secretary, after obtaining the approval of the Chairman, has the right to take any measures that are within the authority of the Committee
under this regulation to ensure the proper management of the institution, provided that the Committee is convened as soon as possible
to present the matter to it and take its decision in this regard.
Authority of the Member
to Inquire
15 - Each member of the Committee has the right to inquire about any matter from any of the employees of the institutions
individually, and in this case, the member has the right to present to the Committee any proposal or
observation he deems necessary or appropriate in this regard.
Setting Fees
16 - The Committee shall set the fees collected in its health institutions of all kinds, such as fees for accommodation, surgeries,
treatment, analysis, etc. And determining the returns and the share of doctors from examinations and surgeries,
and increasing or decreasing them from time to time as it deems required by the interest, provided that the
Committee has the right in some special and individual cases to grant some allowances and discounts as it deems appropriate
and justified, and it may also delegate this authority to one or more of its members.
Health
Employees
17 - The Committee has the right to appoint and employ staff, including nurses, and to set their salaries, increase or
decrease them, dismiss them, and establish regulations for all disciplinary matters concerning them. As for doctors and the administrative manager or
employees under special contracts for more than one year, the Committee must inform the Council upon
their appointment, promotion, and dismissal for approval.
Budget Organization
18 - The Committee organizes its annual budget and submits it to the Community Council before the start of the fiscal year
by at least two months, and it is obliged to submit a comprehensive report from the administrative and financial aspects
upon settlement of the accounts of the closed fiscal year.
Auditing Accounts
19 - The Committee's accounts are audited annually by an accountant or accountants appointed by the Community Council based
on the Committee's proposal, and the report is submitted to the Community Council for information.
Donated
Amounts
20 - All amounts collected by the Committee or donated by benefactors for a specific or non-specific purpose must
be entered as revenue in the accounts. As for the authority to dispose of these amounts, it shall be as follows:-
(a) - If the amount was granted to be spent on a specific purpose (such as constructing a special building or part of a building
or purchasing equipment or tools, etc.), the Committee may carry out this work directly and has the right
to spend up to fifteen percent in addition to the donated amount if the
mentioned addition is available within the allocations present in the relevant article of its budget.
However, if the Committee is unable to cover the mentioned addition in the said manner, and if it becomes clear
to it before starting the work that the cost of the mentioned work will exceed fifteen percent of
the donated amount, then in both cases, the approval of the Community Council must be obtained.

Likewise, if it appears to the committee after starting work that its cost will exceed fifteen
percent or the allocations available in its budget, contrary to what it had ⟦expected⟧ at
the beginning, the approval of the Council must be obtained as soon as this becomes clear to it.
(b) - If the amounts collected from donations are for unspecified purposes, the approval of the Lay Council
must be obtained on how to dispose of this, if it has not already been specified within the budget.
Revenues
21 - The sources of hospital revenues at the time of establishing this system are:
a - Income from immovable property endowed to it.
b - What benefactors grant from Zakat, donations, gifts, and others.
c - What is obtained from the proceeds of special parties and others.
d - What the Lay Council allocates from the amounts.
e - Revenues of the Kethut.
f - Revenues of the health institutions themselves managed by the committee from fees for accommodation, operations,
treatment, etc.
g - Miscellaneous.
22 - Properties are registered in the Land Registry Department ⟦etc.⟧ in the name of the health institutions of the Jewish community <del>and it is written</del>

Committee.
24 - This system shall be implemented from the date of its ratification by the Lay Council.

regarding the draft regulations of the Jewish Hospitals Committee
Jewish
Article 1 - A committee shall be formed to manage the affairs of the Meir Elias Hospital, the Rima Khedouri Eye Hospital, the
Dar al-Shifa Pharmacy, and any health facilities that may be established in the future for the Jewish community in Baghdad, under the
supervision of the Lay Council. This committee shall be called the Jewish Hospitals Committee in Baghdad.
Article 2 - The committee shall consist of seven members appointed by the Lay Council, half of whom shall be reappointed
every two years. For the first time, the half shall be considered three, and for the second time four, and so on. The renewal of
half of the members shall take place following the election of the Lay Council every two years, provided that the formation of the committee for the purpose
of this regulation shall be considered the appointment made on December 20, 1945, and that the three persons to be
replaced at the end of 1947 shall be determined by a ballot conducted by the Lay Council. Withdrawing members may be reappointed
once or more. Following the election of the Lay Council, the committee must inform the new Council
of the withdrawing members and nominate double their number for the Council to choose whom it sees fit from among them or others to fill
the vacant memberships.
Article 3 - The committee shall meet following its appointment or the renewal of half of its members under the chairmanship of the eldest member
and proceed to elect a president, a vice-president, and a secretary, and the result of the election shall be submitted to the Lay Council. The
term of this election shall end with the renewal of half of the committee members every two years. There is no objection to re-electing the president,
vice-president, and secretary more than once. The vice-presidency and the secretariat may be combined in one person.
Article 4 - The committee shall be represented by its president, who shall have the right to sign all correspondence, contracts, and papers,
except for bonds, checks, and the opening of credits in banks, which must be co-signed by
the secretary in accordance with Article 23 of this regulation. The secretary may be granted the authority to sign correspondence
as decided by the committee from time to time.
Article 6 - A quorum shall consist of four members, and decisions shall be taken by a majority of the votes of those present, provided that
the president has the casting vote (?) in the event of a tie.
Article 7 - The committee shall meet at least once a week, and if a quorum is not reached, the meeting shall be postponed until
the following week. The committee may establish the rules it deems appropriate ⟦for⟧ organizing its meetings and business
and distributing its work among the members.
Article 8 - If a member is absent for three consecutive sessions without a legitimate excuse, he shall be considered resigned and shall be notified
of this, with the Lay Council being informed accordingly.
Article 9 - Resignations of members shall be submitted to the Lay Council with a copy to the committee, and the Council
may accept or reject them.
Article 10 - The Lay Council shall fill vacancies that occur in the committee in the cases mentioned in
Articles 8 and 9 and other cases, based on the committee's nomination of double the number of vacancies, provided that
the Council is free to appoint the nominees or others. The new member shall complete the remaining term of the ⟦member⟧

Internal Regulations Bylaws
of the Committee of Jewish Hospitals in Baghdad
Article 1 - A committee shall be formed to manage the affairs of Meir Elias Hospital, Rima Khedouri Hospital
for the Mentally Ill, Dar al-Shifa Pharmacy, and any health facilities for the Jewish community
in Baghdad that may be established in the future. This shall be under the supervision of the Lay Council, and this committee shall be called
the Committee of Jewish Hospitals in Baghdad.
Article 2 - The committee consists of five members appointed by the Lay Council. The appointment of
half of them is determined every two years. The first half is considered three members, and the second time two, and so on.
Half of the members are renewed following the election of the Lay Council every two years, provided
that the formation of the committee for the purpose of this regulation is considered the appointment that takes place immediately upon the implementation of this
regulation. Then, the three members to be replaced at the end of 1947 shall be determined
by lot conducted by the Lay Council. Outgoing members may be reappointed one or more
times. Following the election of the Lay Council, the committee must inform the new Council of the
withdrawing members and nominate double their number for the Council to choose from among them or others to fill
the vacant positions.
Article 3 - The committee meets following its appointment or the renewal of half of its members under the chairmanship of the

the Lay Council. The term of this election ends with the renewal of half of the committee members at the end of

Article 4 - The committee is represented by its President, who has the right to sign all correspondence, instruments,
and papers, except for bonds, checks, and the opening of credits in banks, in which the Secretary must participate
in signing according to Article 23 of these regulations. The Secretary may be granted the authority
to sign correspondence as determined by the committee from time to time.
Article 5 - The committee's minutes and resolutions are recorded in a special register by the Secretary
or whoever is assigned to do so, and presented to the committee at the next meeting for approval and signature
by the President and the members who attended that session.
Article 6 - A quorum consists of three members, provided that the President or his deputy is present.
Decisions are taken by a majority of the votes of those present, provided that this majority is not less than three.
Article 7 - The committee meets once a week as far as possible. If a quorum is not reached,
the meeting is postponed until the following week. The committee may establish the rules it deems appropriate for organizing

its meetings and works, and distributes its tasks among the members

Article Eleven - If the Chairman of the Committee is unable to perform any of the powers and duties
assigned to him under this system for any reason, the Vice-Chairman shall act on his behalf.

authority of the committee under this system to ensure the proper functioning of the institution's management, provided that the
committee convenes as soon as possible to present the matter to it and take its decision in this regard.
Article Fifteen - Each member of the committee has the right to inquire about any matter from the employees of
the institutions individually, and the member also has the right to present to the committee any proposal or study
he deems useful in this regard.
Article Sixteen - The committee must determine the fees collected from its health institutions
of all kinds, such as accommodation fees, examinations, treatments, analyses, etc., and determine the revenues of the unit
of doctors from examinations and operations and their distribution or reduction from time to time as
interest requires, provided that the committee has the right in some special and individual cases to exempt
contributions or reduce them as it deems appropriate, and it may also delegate this authority to one
person or more of its members, and the schedule of fees, the percentage of contributions, and the doctors' share shall be formulated to
the Physical Council.

Article Seventeen - The Committee has the right to appoint and employ male and female employees and staff, and to set their salaries,

15 Dinars per month shall be subject, in their appointment, promotion, salary reduction, and termination of services,
to the approval of the Corporeal Council.
Article Eighteen - The Committee shall organize its annual budget and submit it to the Corporeal Council at least
two months before the start of the fiscal year.
Article Nineteen - The Committee's annual accounts shall be audited by its accountant or accountants appointed by
the Corporeal Council, and the report shall be submitted to the Corporeal Council for approval.

Article Twenty-Two - Real estate shall be registered in the Land Registry Department in the name of the Presidency of the Jewish Community
and it is prohibited to register any of it in the name of a person or persons in a capacity, and the committee has the right to dispose of the funds
movable and immovable, provided that this disposal is not contrary to the terms of the endowments.
Article Twenty-Three - The reserve amounts collected by the committee shall be deposited in one of the banks
in the name of the Jewish Hospitals Committee in Baghdad, and withdrawals shall be made with the signature of the President and the Secretary on behalf

Due to urgent necessity, our committee decided in its meeting held on 3 / 7 / 1945 to carry out
large-scale arrangements and repairs at the Rimah Khedouri Eye Hospital to conduct its work as required,
including moving the outpatient clinic locations as well as the bathroom rooms and paints for paying patients and
poor patients into two separate sections, and this of course will require equipping the hospital with many materials and items
and carrying out some necessary repairs, the value of which is estimated at (200) Dinars. Since the mentioned amount
was not included within the special expenses of the Rimah Khedouri Eye Hospital shown in the general budget
for this year, the committee decided in this session to inform your respected council in this regard for review
and approval.

Our committee has exerted continuous efforts for a long time to reopen the radiology department in the
Meir Elias Hospital, but due to the current war conditions, we were not able to complete this task at the time, however we
have finally succeeded in reaching an agreement with a company in London to supply us with the necessary tools and supplies to operate
the aforementioned department at the present time. The total price of the list of those required tools and supplies is approximately / 400
dinars. Since this amount was not included within this year's budget, our committee decided in its meeting
held on 3 / 7 / 945 to inform your esteemed council of the matter for your information.

After greetings
We wish to state herewith that the stove that was used in Meir Elias Hospital until recent
days has become in a state where it is impossible to continue using it, as it often broke down
from working, and it also produced continuous smoke that disturbed the patients on one hand and caused complaints from the neighbors on
the other hand, to the extent that they were often forced to officially file a lawsuit with the Secretariat of the Capital. We
tried repeatedly to obtain a new stove, so we approached the Adas Company regarding the matter and recently obtained a stove that operates
by means of electricity and oil, and we installed it with the necessary arrangements for it until the expenses reached
about 120 Dinars. Since this amount was not included within the estimated expenses for this year,
our committee decided in its session held on 24 / 7 / 945 to inform your esteemed council of the situation for approval.

Reference to your letters dated 17 and 18 July 945 and 7 August 945
Our Lay Council, in its session held on 4 / 10 / 945, decided the following: -
1) The Council prefers that the amount required to be spent for the purchase of tools and supplies for the Radiology Institute, which
you estimated at 400 Dinars, be included in the estimates for the new budget. On this occasion, we remind you
that the committee has not yet submitted this budget, which we previously requested from you in our letter No. 3492
dated 4 July 945, urging its submission, which will force the Council to submit
the budget without waiting for your reply.
2) The Council approved the expenditure of 200 Dinars to carry out the repairs referred to in your letter dated
18 July in the Rima Khedouri Eye Hospital, as well as the amount of 120 Dinars to purchase and install a stove in

It is not hidden from Your Excellency that the rent for the National School was fixed a long time ago
at an amount of 250/- Dinars annually and has not increased until now. Our committee knows well that there are
no differences between the community's institutions in various aspects, but there is an independent budget for each of them
that must be taken into consideration, especially if the matter affects its revenues to a noticeable degree.
This nominal rent is very low for the mentioned building, which contains sixteen
rooms along with other school requirements, especially since this committee, as is not hidden from your council,
carried out significant expansions four years ago, in addition to the expansions and repairs it recently
conducted in the school, such that the expenses spent on those expansions in both periods reached
an amount of approximately 1800/- Dinars.
Our committee deliberated in its meeting held on the 22nd of this month regarding this matter and decided
to increase the mentioned rent to 500/- Dinars, taking into account the facts mentioned above,
even though it believes that the actual rent for the mentioned building at the present time, compared to the current rent
of the Nuriel School, is not less than 900/- Dinars.
Therefore, we hope that your honorable council will support us in this matter and approve raising the mentioned
rent to five hundred Dinars.

1945 regarding your committee
"The meeting was attended, at the invitation of the Council, by Messrs. Munir Dangoor, Albert Shammash, and Salman Debi, members of
the Hospitals Committee, and a discussion took place with them regarding hospital affairs. The Council expressed
its desire to increase the members of the Hospitals Committee and make them seven members, similar to the
Schools Committee, and tasked the Hospitals Committee with selecting four other persons and nominating them so that
the Council may choose two members from among them for the committee, in addition to Mr. Naeem Sofer, who it was decided to add
to it. Then the Council explained to the committee that its current bylaws, established in 1929, have become
ineffective for the intended purpose and suggested amending them, and requested the committee to draft a new set of bylaws
and submit them to the Council for discussion and approval in order to put them into effect."
