Telephone Rental Contract
This contract was concluded between the Director General of Posts and Telegraphs on behalf of the Iraqi Government as
the First Party and ⟦The President of the Jewish Lay Council in Baghdad on behalf of the school⟧ (hereinafter referred to as
the Subscriber) as the Second Party ⟦Menashi Saleh School for Girls⟧
Article (1) The Subscriber agrees, according to the conditions set forth in this contract, to rent from the Director
General of Posts and Telegraphs the equipment and lines according to the prescribed rates.
Article (2) This contract shall take effect from the date of completion of the installation and shall remain in force
until the termination of the contract in the manner set forth in Article Six of this contract.
Subject to the ninth condition set forth in this contract, the rental fee
amounting to ⟦7/500⟧ Dinars shall be paid every six months, plus a one-time
installation fee of ⟦five⟧ Dinars and a security deposit of ⟦one Dinar⟧ Dinars,
starting from the date of completion of the installation according to the prescribed rates.
The Subscriber shall pay in advance the installation fees and half of the rental fee for the first year,
and thereafter shall pay in advance the rental fee for every six months.
Article (3) When the Subscriber receives a request from the Director General of Posts and Telegraphs for the payment of the amount prescribed
in Article Two of this contract, he shall proceed to pay the mentioned amount to the Director General
of Posts and Telegraphs through the Central Telephone Directorate in Baghdad
or any department authorized for that from the postal departments in Iraq.
In cases where payment in advance is mandatory, telephone connection shall not be provided until
the first installment of the rental fee is received.
Article (4) If the Subscriber wishes to cancel this contract at any time before the completion of the installation and connection,
he must bear the expenses incurred for the installation and connection up to that date.
Article (5) The Subscriber agrees to follow the conditions set forth in this contract and act accordingly.
Article (6) Each of the two parties has the right to terminate this contract after six months have passed by giving
the other party a written notice of at least seven days. If the
Subscriber fails to give notice, he must pay a rental fee for seven days based on
the annual rent.
The rental fee collected for the first six months of the contract period is non-refundable.
As for the case of terminating the contract period by giving notice after the first six months have passed,
the fee paid by him in advance for the rent of the remaining period of the six
months during which the telephone is not used shall be returned to the Subscriber.
When refunding or collecting a rental fee for a period of less than a month, the
fee for one day is considered equal to ⟦1/30⟧ of the full month's fee.

Conditions
(1) If the connection mentioned on the first page is not completed within six months from the date
of signing the contract, the subscriber may demand the Director General of Posts and Telegraphs in writing to complete it
within a period of one month, otherwise the contract shall be considered terminated.
(2) The Director General of Posts and Telegraphs shall install the apparatus mentioned on the first page and work to
maintain it in good condition (provided that the subscriber complies with the articles and conditions
set forth herein). If a defect occurs in the apparatus, the Director General of Posts and Telegraphs must carry out
the necessary repairs and return it as quickly as possible, provided that the subscriber provides the necessary
assistance for that. The Iraqi government has the right at any time after the expiration of the written notice
period provided by the Director General of Posts and Telegraphs to the subscriber to remove any apparatus
installed under this contract or to take possession of it if it deems it necessary, provided that
in this case it pays the subscriber the share of the rent for the remaining period of the contract.
(3) The Iraqi government shall not be responsible for any loss or damage arising from the interruption,
stoppage, or obstruction of communications for any reason whatsoever, nor shall it be responsible for any
loss or damage arising from delay in establishing communications or reconnecting them.
(4) The subscriber must take full care of the telephone instrument and all fittings and tools
attached to it, and must not cause or allow others to cause damage to it or make any change or
alteration in it. He must also not make or cause to be made any additions or changes to it,
and must not remove or cause the removal of any mark, word, or number, whether written,
engraved, stamped, or printed on it.
Telephone officials and workers shall be allowed at all appropriate times to access the
subscriber's premises or those under his control from other premises through which, under which,
or over which any part of the wires or apparatus passes or connects. The subscriber may not demand
the refund of any amount paid for rent or otherwise under this contract, or for any
compensation or damage of any kind.
In the event of damage or change to the apparatus or any part of it in the subscriber's premises
for any reason, he must pay the Director General of Posts and Telegraphs the cost of repairing the damage
or such replacement.
(5) The subscriber may not send or receive, or allow the sending or receiving of, a message by means of
his said apparatus in exchange for any amount or gift, whether paid or promised to be paid to him,
to others, or to any entity other than the Iraqi government.
(6) The subscriber is not allowed to rent a telephone at the rates designated for residences unless the
telephone is installed in his private residence, provided that it is also used only for social purposes. The Director
General of Posts and Telegraphs has the right to collect "Business Telephone" fees for any telephone of
residential houses after seven days from the date of warning the subscriber if:
(a) The subscriber announces in newspapers or bulletins that he practices his business in his residence where the
telephone is installed.

(9) If the subscriber wishes to make any change in the apparatus installed under this contract,
he must pay the cost of the expenses for this change according to the prices in force at that time. However,
if this change affects the length of the line used, then the rental fee shall be adjusted
according to the prices in force at that time, provided that if this change results in
a reduction in the rental fee, the original fee shall be collected until the end of the first six months
of the contract period.
(10) The records kept by the Postmaster General and Telegraphs shall be considered sufficient and conclusive evidence to show
the dates of the commencement of the contract, the expiry of its term, or its termination.
(11) The subscriber must observe, throughout the duration of the contract, all matters relating to it from the rules
and regulations in force at that time.
(12) Upon termination of this contract, the subscriber must deliver to the government the wires and the apparatus with all
other fittings and supplies in good condition as they were at the time of their installation, with the exception of
wear and tear resulting from use only, and the Director General may remove the wires
and the apparatus immediately.
(13) A – The Postmaster General and Telegraphs may collect from the subscriber a compensation fee of
one Dirham for each day the telephone set remains in the subscriber's custody after the disconnection
of the service, in the event of his refusal or the refusal of one of the residents of his premises to hand over the set, or
if the premises or the house in which the telephone is installed is closed, or for other reasons where
the worker sent by the administration is unable to remove the telephone set, provided that this fee does not exceed
250 Fils.
(13) The subscriber shall be responsible for paying the fees and charges related to long-distance calls
originating from his telephone designated in this contract, regardless of the persons
speaking, as well as for the fees and charges for facilities and communications not specified in the tariff of charges
which are given to individuals upon their request when using the subscriber's telephone
set.
All these charges and fees shall be paid to the Director General upon request, and the subscriber
must deposit and keep deposited with the Director General a security deposit of not less at any time than two Dinars
and not exceeding the average telephone rental and call charges for six full months, for
each telephone connected to an exchange as requested by the Postmaster General and Telegraphs from
time to time. This amount shall be considered security for the rental and other charges and a guarantee against any
violation of the fourth paragraph of this schedule. In case of default, the Postmaster General
and Telegraphs shall refuse to connect a telephone for which the rent has not been paid in advance, and he also has the right to disconnect
the telephone whose security deposit has not reached the prescribed limit within fifteen days from
the date the subscriber was requested to do so.
The Director General has the right to withdraw from this security deposit what is due in charges mentioned
in this contract and request the subscriber to pay security deposits equivalent to the amount withdrawn from
the old security deposits.

(b) Printing his residence telephone number on his business papers.
(c) Registering next to his name — in the relevant section of the telephone directory the word "Office"
or "Shop" instead of residence, with the following exceptions:
1 — Charitable societies.
2 — Newspaper administrations.
Residential telephone rates are not permitted for the following places:—
1 — Clubs.
2 — Hotels (except for telephones rented by residents in the living quarters
of the hotel).
7 — If the rental bills are not paid within 15 days of the due date, a final notice
is sent to the subscriber. If the bills are not paid within three days from the date of the notice, the
telephone connection is cut. After seven days from the date of disconnection, the telephone is removed if
the bills are not paid during this period, and then this contract becomes terminated, provided that
this does not affect any of the government's rights or any measures taken by it.
The subscriber shall be obligated to pay the rent for the period of disconnection until the removal of the telephone
(including the date of removal). If the subscriber subsequently wishes to reinstall the telephone, he must
first pay all due fees and then sign a new contract and abide by its terms.
(7) a — If the subscriber leaves Iraq temporarily without paying the fees owed, the device connection is cut
without notice. If all due amounts are not paid within seven days after the disconnection,
the device is removed, and the government may consider the contract cancelled by the subscriber
and may also terminate it immediately.
b — A subscriber who leaves Iraq temporarily must either pay in advance the rent
due for the period of his absence from Iraq or make other arrangements to transfer
the amount or have it paid by an agent on his behalf in Iraq, provided that the amount
paid for this purpose is not less than six months' rent; otherwise, the government has the right to take
the same measures mentioned in paragraph 7 (a), provided that this does not affect
any of the government's rights.
(8) In the event that the subscriber is adjudicated bankrupt, enters into a composition agreement with his creditors,
makes any other arrangement with them, or if anything occurs leading to the seizure of his house,
or if he violates any of the provisions of the contract articles or its conditions, or fails to follow them,
the Iraqi government has the right to terminate this contract by giving written notice without
paying any compensation and without prejudice to any of the government's rights or measures it takes
to collect the arrears it is owed or any other amounts
due to it under this contract.

If the subscriber is entitled to sums from the Post Administration for other works, the Director
General has the right to deduct the fees due under this contract from those sums.
The certification of the Director General of Posts and Telegraphs of the account to be paid by
the subscriber for fees, expenses, or the value of damage shall be considered sufficient evidence of the correctness of
the amount claimed.
(14) If the number of incoming calls to the telephone or telephones mentioned in this
contract which, due to the telephone being busy, were not answered exceeds by 25 percent
the number of calls answered within 4 consecutive working days, the Director General of Posts
and Telegraphs may give the subscriber a written notice accompanied by a certified record of the calls
and request him in the notice to rent an additional number of telephone lines as
the Director General of Posts and Telegraphs deems appropriate, in view of what he sees as necessary to meet the telephone
calls incoming to or outgoing from the subscriber's premises. If the subscriber fails to implement
this notice within one month, the government may terminate this contract.
(15) The Director General may notify the subscriber in writing or by means of an announcement published in the Official
Gazette or local newspapers about the increase or decrease in the fees for telephones and lines
of various types and the date of implementation of that increase or decrease. The subscriber is considered to have agreed
to the increase unless he submits a request to terminate the contract according to Article Six of this contract.
(16) If a private branch exchange board is installed and connected to the public exchange center by
a line or lines, the subscriber must employ, at his own expense, competent telephone operators
to ensure the operation of the exchange board in the required manner, provided that their competence is approved by the Director
General of Posts and Telegraphs.
(17) The Director General of Posts and Telegraphs shall provide the subscriber with lists of fees for long-distance
telephone calls and shall not provide any details other than the date on which the call occurred and the amount
of the fees. Subscribers who wish to verify the correctness of these requests must organize
their own account for that. Details about calls can be given upon payment of the following fee:-
From 1 to 3 calls: 30 fils
For each additional call: 10 fils
Details of calls may be recorded in the call fee schedules upon the subscriber's agreement
to pay the prescribed fees. The Director General of Posts and Telegraphs allows the submission of call fee
schedules monthly if the subscriber agrees to pay an annual fee of (375) fils for each
telephone.
(18) The subscriber may not relinquish his telephone to another person, and the subscriber must request the removal
of the telephone and the termination of the contract when he does not wish to continue the subscription and use
the telephone by him according to the terms of this contract. In case of violation of this, the contract is considered
immediately canceled without the need for a formal warning, and the Directorate in this case may remove the telephone
and the connection lines.
(19) A subscriber whose telephone is equipped with a plug and jacks may not disconnect his telephone
by pulling the plug from the jack. In case of violation of this, the Director General of Posts and Telegraphs shall have
the right to remove the jacks and the plug and not reinstall them in any case in the future.
