1950.
Based on the two aforementioned manual decisions, Rabbi Khedhouri Saleh Duri received the amount of the two aids
totaling (180.000 Dinars) from Mr. Hooki Shalom Agha Baba and authorized him to collect it from the mentioned association, as established
in the two letters dated 25 / 6 / 951 and 16 / 7 / 951 signed by the aforementioned Rabbi.
And whereas the creditor, Mr. Hooki Shalom Agha Baba, did not receive from his debt amounting to 180.000 Dinars except fourteen
Dinars, the remaining amount due to him from the association is (166.000 Dinars).
And since the Presidency of the Community has become the administrator of the properties and endowments of this association, it is legally responsible for paying
this established debt according to these attached documents, and therefore we have decided the following:

We have decided to pay an amount of one hundred and sixty-six Dinars to Mr. Hooki Shalom Agha Baba in settlement of the remainder of his debt from the
Tomchei Torah Association, whose property revenues are managed by the Presidency of the Jewish Community in Baghdad, provided that the
repayment is made from the revenues of the properties of the aforementioned association.

Dorshei Torah Association
Internal Bylaws of the (Dorshei Torah) Association
1 - Name of the Association. This association is called (Dorshei Torah).
2 - Purpose of the Association. This association was founded to teach Israeli religious sciences and study books
of the Talmud for poor children in Baghdad and has no relation to politics.
3 - The Committee. The association is composed of seven members elected in the general session held by
the body of founders for the first time, and they elect from among themselves a president, a vice president, and a secretary.
4 - Administration and Supervision: A- The general administration is entrusted to the association's committee, which seeks to increase revenues, monitor
students, improve their conditions, and do whatever is necessary to achieve the association's goal.
B - The association's committee is responsible for keeping and maintaining the necessary books, controlling the accounts,
collecting subscriptions and aid, and spending them.
C - The committee holds its session once a week or more and is considered formed whenever five
of its members are present at least, provided that the president or his deputy is among them, and
decisions are issued by majority. In case of equal votes, the president of that session has the casting vote. No
proxy voting is allowed.
D - The president and secretary are authorized to conduct transactions jointly in the name of the association and represent
its personality officially, and they are the ones who sign correspondence papers and others, provided they are
stamped with the official association stamp.
5 - Minutes: The secretary records the minutes of sessions and committee activities in a special register known as the
Minutes Register, and the attending members sign it at the end of each session.
6 - Membership: Any individual from the Israeli community who pays to the association's fund
an annual subscription fee of at least six rupees is considered a member of the association, provided they are not under twenty
years of age and have not been deprived of civil rights. A special book known as the register of
members' names is organized for this. The number of association members is not limited.
7 - Annual General Meeting: A general meeting of the association is held once every year in the Hebrew month of Nisan, and
the secretary presents to the annual general meeting the committee's activities for the past financial year
and a table of audited accounts.
8 - Extraordinary General
Meeting. An extraordinary general meeting may be held at any time of the year as circumstances require to settle
some necessary business. This meeting is held either (1) by direct decision of the committee or
(2) based on a written request submitted by at least fifty members to the president, stating
therein the purpose calling for the meeting.
9 - Session Rules: A- All general meetings must be notified to the members at least one week before they are held
in writing, and the committee must state the purpose for which the announcement of the
general meeting was issued.

b - The attendance of one-third of the assembly members is considered a quorum for the meeting, provided they are not fewer
than fifty, and the quorum must be completed before starting work. If there is no
quorum in the appointed session, the session is postponed for at least one week, and the
President and the Secretary shall be notified of the date of the postponed session as they were notified of the date of the original session.
In the postponed session, work begins at the appointed time without regard to the number
of members present.
c - Votes are taken on every proposal or decision in the general sessions in the manner
decided by the President, provided that each member has one vote.
d - The Chairman of the Committee shall preside by virtue of his office over all general sessions, and in his absence
the Vice-Chairman of the Committee shall preside, and if both are unable to attend, the Committee members present
shall elect one among them to preside over the session.
e - Present members are not allowed to vote by proxy for absentees.
f - Members who are late in paying the subscription fee for two years or more have no vote in the session.
10 - Minutes of General | The Secretary must record the minutes of the sessions in the minutes register, stating the events of each
Sessions. | session signed by the President and the Secretary. Members have the right to view the minutes register if they request
| that from the Secretary.
11 - Changing the Bylaws | a - The bylaws and provisions may be changed, modified, or added to as determined by the general

| b - These are the provisions to be followed regarding changing the association's bylaws: -
| a - Every proposal involving a change to the bylaws and provisions must be announced in detail
| in the public manner in Article (2).
| b - The passage of every proposal to modify the bylaws or provisions requires a two-thirds majority of the members
| present in the session.
| c - If a proposal to modify the bylaws and provisions is accepted or rejected in an extraordinary general
| session, the same issue is not allowed to be brought up for discussion in
| another extraordinary general session before the annual general meeting.
12 - Rescinding Provisions | The Committee is authorized to establish provisions it deems necessary to meet temporary needs or to ensure the interest
| of the association or its system of operations. These provisions remain in force and must be
| observed until the Committee cancels them or the general session annuls them.
13 - Funds. | The Committee shall immediately deposit all subscriptions and cash donations it collects into the fund of
| one of the banks it designates in Baghdad in the name of the association, and the amounts are withdrawn from the bank
| with the signatures of the President and the Secretary by a decision of the Committee. No amount shall be spent nor shall
| any work be undertaken unless they are formally decided upon in the Committee. It is not permissible to keep an amount exceeding

14 - Accounting
A
One hundred rupees with the committee.
The Secretary shall maintain books showing in detail the account of receipts and expenditures and shall prepare every
year a schedule showing the financial position of the association at the end of the previous month of March
and an account of income and expenses detailing the amount received and paid in the current year
ending in the current March. This schedule shall be presented to the Annual General Meeting
(Article 7) signed by him and by the President.
B
The members at the Annual General Meeting shall appoint an auditor to examine the accounts of the association
and the auditor should submit a certified statement on the budget schedule and the income and expense account
as provided in paragraph (1) above, and this statement shall be kept with the management of
the committee.
15 - Resignation of members
of the committee.
A
If one or two members resign from the committee, the remaining committee members shall elect from the members of
the association their replacements immediately by consensus. If more than two members resign together, their
election shall take place in the General Meeting.
B
The entire committee or part of it may be replaced if the General Body deems it advisable and correct,
provided that this is decided by two-thirds of the members present.
16 - Dissolution of the Association
A
The decision to dissolve and liquidate the association is entrusted to a General Meeting announced and held in the manner prescribed
in Article (8), and this decision must be confirmed in another General Meeting announced and held
like the previous one, and at least twenty days must pass between the holding of the two aforementioned meetings.
B
The decision to dissolve and liquidate the association requires ratification by vote by two-thirds of the members
present in each of the two General Meetings held for this purpose.
17 - Destination of the Association's funds
after its dissolution.
A special resolution shall be taken in the General Meeting deciding on the final dissolution of the association according to
the provisions of Article (16) to spend the association's funds on the charitable cause designated by
two-thirds of the body of those present.

Dear Sirs,
May I bring to your kind notice the fact that the
Midrash Talmud Torah Schools at Baghdad, sponsored by our
community are finding much difficulties in obtaining their requi-
rements of The Holy Bible.
These schools have 3600 students most of them poor or
orphans who need 2000 copies per year of the Bible (pentateuch,
Hebrew edition, medium size). As these students are poor their
books are usually provided for by benevolent donators but due to
the war difficulties very few copies are available in the local
market as new stocks arrived to the East. The available scarce
stocks are sold at excessively high prices which these schools do
not afford to pay due to their meagre resources.
The Midrash schools, besides other similar schools,
have tried their best to use their old copies of the Bible by
binding and rebinding them, but now they are totally out of use.
In these circumstances and knowing your kind willingness
to cooperate in charity undertakings, I thought it opportune to
approach your society to send adequate supplies of the Bible to
be sold at reasonable prices-(the minimum yearly need at present
is 1000 copies of the Pentateuch, hebrew edition, medium size)
through your Baghdad branch. Would you please be kind enough as to
inform us when these stocks arrive so that we may purchase our need
directly from your Baghdad branch before the copies in question
pass to the hands of profiteers.

they are not less than fifty, and the quorum must be completed before starting
the work: If the quorum is not present in the designated session, the session
is postponed for at least a week, and the president and secretary shall notify the date of
the postponed session just as they notified the date of the original session. In the holding
of the postponed session, work begins at the appointed time without regard to the number
of members present .
C - Votes are taken on every proposal or resolution in general sessions in
the manner decided by the president, provided that each member has one vote .
D - The chairman of the committee, by virtue of his office, presides over all general sessions,
and in his absence, the vice-chairman of the committee presides; if both are prevented from attending,
the committee members present shall elect one from among them to preside over the session .
E - Members present are not allowed to vote by proxy for those absent .
F - Members who are late in paying membership fees for two
years or more have no vote in the session .
10 - Minutes of General
Sessions .
The secretary must record the proceedings of the sessions in the minutes book, stating
the proceedings of each session by the president and the secretary. Members have the right to review the record
of proceedings if they request it from the secretary .
11 - Amending the Bylaws
and Rules .
The bylaws and rules may be changed, modified, or added to as decided by
extraordinary general sessions held for this purpose .
These are the rules to be followed regarding changing the association's bylaws " -
A - Every proposal involving a change to the bylaws
and rules must be issued in detail according to the general method in Article (9) .
B - To pass any proposal to modify the bylaws or rules, a majority
of two-thirds of the members present at the session is required .
C - If a proposal to modify the bylaws and rules is submitted or rejected in an
extraordinary general session, it is not permitted to bring the same issue
to the table for discussion in another extraordinary general session
before the annual general meeting .
12 - Cancellation of Provisions .
The committee is authorized to establish rules it deems necessary to meet temporary needs or to ensure
the interest of the association or the system of its work. These rules remain in effect
and must be respected until the committee cancels them or the general session invalidates them .

13 - Funds. | The Committee shall deposit directly all subscriptions and financial aid it collects into
the fund of one of the banks it designates in Baghdad in the name of the Association, and the
amounts shall be withdrawn from the bank with the signatures of the President and the Secretary by a decision of the Committee. No
amount ⟦...⟧ presented shall be spent unless it is formally approved by the Committee.
No amount exceeding one hundred rupees may be held by the Committee.
14 - Accounts. | A - The Secretary shall keep books showing in detail the accounts of receipts and expenditures, and shall prepare every
year a table showing the financial position of the Association at the end of the previous March
and the income and expenditure account detailing the receipts and payments for the current year
ending in the current March. This table shall be presented to the annual General Meeting
(Article 7) countersigned by him and by the President.
B - The members at the annual General Meeting shall appoint an auditor to examine the accounts
of the Association, and the auditor should submit a certified statement on the budget table
and the income and expenditure account as stipulated in paragraph (A) above. This
statement shall be kept by the Committee's management.
15 - Resignation | A - If one or two members resign from the Committee, the remaining members of the Committee shall elect from
of Committee members. | the members of the Association their replacements immediately by consensus. If more than two members resign
simultaneously, their election shall take place in the General Meeting.
B - The entire Committee or part of it may be replaced if the General Assembly deems it
advisable and correct, provided that this is decided by two-thirds of the members present.
16 - Dissolution | A - The decision to dissolve and liquidate the Association is entrusted to a General Meeting announced and held in
of the Association | the manner stipulated in Article (8). This decision must be confirmed in another General
Meeting announced and held like its predecessor, and at least twenty days must pass
between the holding of the two aforementioned meetings.
B - To decide on the dissolution and liquidation of the Association, it requires ratification by vote from two-thirds
of the members present in each of the two General Meetings convened
for this purpose.
17 - Disposal of funds | A - A special decision is taken in the General Meeting deciding to dissolve the Association and its conclusion.
after dissolution. | According to the provisions of Article (16), the Association's funds shall be spent on the
charitable cause designated by two-thirds of the body present.
