Based on the request submitted by the Enlightenment and Culture Society in its letter No. 160 dated 1970/6/1
regarding the election of the administrative body of the society and the approval of the Baghdad Governorate in its letter No. 38926 dated
1970/6/8, I attended today at the society's headquarters located in Bab al-Sharqi, Marjan Building district, with the
First Administrative Clerk, Mr. Hatem Shaaban al-Rawi, and the election took place after the election of the founding body
for the second time by acclamation, and the following named persons became members of the administrative body as follows:

Minutes of the Election of the Arts and Culture Association
Based on the letter of the Baghdad Governorate Administration No. 4517 dated 21 / 8 / 1969
Including the approval to invite the General Assembly of the Arts and Culture Association to attend
the association's headquarters located in Bab Al-Sharqi / behind the Murjan Building / on 7 / 7 /
for the purpose of electing the administrative body of the association, at six o'clock in the evening
on 21 / 8 / 1969, and in the event that a quorum is not completed, in the following week.
Accordingly, I went to the association's headquarters at the scheduled time 21 / 8 / 1969 and after
I reviewed the internal bylaws, the register of participants, and the count of those present
I found that a quorum was present to conduct the required election, and the papers were distributed
to those present. After collecting and sorting them, the individuals whose names follow won
the votes, and they are the gentlemen:-

Article: 1 - Name of the Association ⟦line⟧ Arts and Culture Association.
Article 2 - The headquarters of the association is in Baghdad, and branches may be opened in the provinces in accordance with the provisions of Article (13) of
the Law of Associations.
Article: 3 - Objectives of the Association: -
1 - Establishing the artistic and cultural constitution among the members
2 - Contributing to the dissemination of general and artistic culture in the country in accordance with the directives
determined by the relevant authorities.
3 - Encouraging education and culture through modern artistic means.
4 - Encouraging fine arts by various possible means.
5 - Benefiting from cultural and artistic research and studies outside Iraq and participating
in conferences held for these purposes with the approval of the relevant authorities
and sending missions abroad.
Article: 4 - Means of achieving the association's objectives: -
1 - Opening schools, institutes, and cultural and artistic courses, morning and evening, with the approval of the
competent authorities.
2 - Issuing periodic artistic and cultural bulletins and magazines after obtaining the necessary permission
in accordance with the provisions of the observed laws.
3 - Organizing artistic exhibitions and competitions for various arts.
4 - Forming acting and musical troupes to present artistic activities through the theater.
5 - Producing cultural cinematic films.
6 - Preparing and presenting radio and television programs.
7 - Allocating a place in the association's headquarters to be used as a rest area for members during their
free time and for deliberation on matters that lead to achieving the association's purposes.
8 - Holding seminars and delivering artistic and practical lectures.
9 - Conducting various trips inside and outside Iraq.
10 - Establishing a library for culture and arts.
11 - Cooperating with government institutions and associations with similar and related objectives
while observing the provisions of the observed laws.
Article: 5 - It is not permitted to delve into political or religious issues or matters harmful to the public interest
inside the association.
Article: 6 - Gambling of all kinds is not permitted inside the association.
Membership of the Association
Article: 7 - Persons who meet the following conditions have the right to join the association after
filling out the form designated for that, provided that his application is supported by two members of the association
who are acquainted with him and confirm his suitability for membership in the association
1 - Good conduct and reputation
2 - Not deprived of civil rights
3 - Not convicted ⟦illegible⟧
4 - Has completed eighteen years of age and is of full legal capacity
5 - Not to have been convicted of a crime involving dishonor
6 - To accept the association's bylaws in writing

Article: 8 - The Administrative Board decides by majority to accept, reject, or postpone the consideration of an affiliation request
without stating the reasons for doing so. However, anyone whose request is rejected has the right to object to
the rejection decision before the General Assembly at its first meeting, and its decision in this regard shall be
- final.
Article: 9 - The member whose admission to the association's membership is decided shall pay an affiliation fee of one dinar or
(a monthly subscription of five hundred fils. In case of delay in paying the affiliation fee after
twenty days from notification, the request shall be considered null and void).
Article: 10 - The Administrative Board has the right to exempt a member whose affiliation with the association is deemed to have a
technical or cultural benefit from affiliation fees or subscriptions, or to reduce them by half with the approval of the majority of
the Administrative Board.
⟦line⟧ Association Finances ⟦line⟧
Article: 11 - The association's finances consist of:
1 - Affiliation fees and subscriptions.
2 - Proceeds from parties and profits from newsletters and magazines issued by the association.
3 - Profits realized from tuition fees in the association's schools, institutes,
and courses.
4 - Grants and donations obtained by the association from the government, bodies,
and individuals.
5 - What the association obtains from subscriptions after it is decided to consider it one of
the public utility associations according to Article (15) of the Association Law.
Article: 11 - Any member who delays paying their subscription for a period of two months shall be warned by the Secretary, and if
they do not pay what they owe within two weeks from the date of the warning, the Administrative Board has the right to take
the necessary decision to dismiss them from the association's membership.
⟦line⟧ General Assembly ⟦line⟧
Article: 13 - The General Assembly consists of all members who have fulfilled the obligations imposed on them under
this system after they have all been invited to it, and its duties are as follows:
1 - Drawing up the general plans for the association.
2 - Electing the Administrative Board.
3 - Supervising the work of the Administrative Board.
4 - Electing a temporary committee of three members of the General Assembly to audit
the association's accounts at the next meeting.
5 - Approving the budget allocations for the coming year.
6 - Amending the association's system or dissolving it voluntarily, provided that the decision in
these two cases is issued by a two-thirds majority of the votes.
Article: 14 - The General Assembly meets at least once a year, in the first week of January
of each year, to deliberate on various association affairs, provided that the invitation to the meeting is sent
at least two weeks in advance, and the meeting agenda is attached to the invitation announcement.
Article: 15 - The General Assembly meeting is held in the presence of the majority of members in the first call. In case a
quorum is not reached, the meeting is postponed for a week, during which the second invitation is sent to the members.
This time, the quorum shall be formed by those members present, provided their number is not less than ten,
and decisions are issued by majority, except for cases for which there is a special restriction.

Article: 16 - The Administrative Board has the right to call the General Assembly to an extraordinary meeting if it deems it necessary.
Also, one-quarter of the members who have paid their subscription fees may submit a request to call the Assembly
for an extraordinary meeting to discuss certain topics of interest to the association or to dismiss the Administrative Board or some of
its members. The Administrative Board must issue the invitation for the General Assembly meeting within fifteen days
from the date of receiving the request. In case of its refusal to do so, the applicants have the right to issue the invitation
for the meeting themselves. Discussion is not permitted except on the topics for which the General Assembly was called.
If the topic concerns the dismissal of the Administrative Board, the dismissal decision must be issued by a majority of
two-thirds of the votes. In that case, the General Assembly must meet within one week from the date of the first
meeting to elect a new administrative board to complete the remaining term until the date of the next regular
meeting.
Article: 17 - These bylaws may be amended by a decision issued by the General Assembly at its annual meeting or at an
extraordinary meeting, provided that the decision is issued by a two-thirds majority of the votes. Amendments are not considered effective until
thirty days have passed since notifying the Ministry of Interior of them and its lack of objection to them.

Article: 18 - The Administrative Board is elected by secret ballot after public nomination from among the members of the General
Assembly at the annual meeting held in the first week of January of each year.
Article: 19 - Upon the dissolution of the Administrative Board before the election date, elections for the new board shall be held at that time
to complete the remainder of the year.
Article: 20 - The Administrative Board consists of seven members.
Article: 21 - The Administrative Board meets among itself upon the announcement of the results and elects from among its members a president, a secretary, a director
of administration, and a treasurer by secret ballot.
Article: 22 - The duties of the Administrative Board shall be as follows: -
1 - The President shall be responsible for signing checks and contracts after they are prepared by the
accountant and signed by him. He presides over the meetings of the Administrative Board and represents the association
in official transactions with banks, institutions, government departments, associations,
and clubs. The Secretary shall act on his behalf in his absence.
2 - The Secretary prepares the agenda for meetings, organizes them, records all correspondence
and deliberations, prepares for sending invitations, notifies members of the minutes, and maintains contact
with the association.
3 - The Treasurer maintains a ledger containing revenues and expenditures
and collects subscription fees from members against receipts. He must submit
at the end of each month a report to the Administrative Board on the financial status of the association.
4 - The Director of Administration supervises the buildings, halls, and classrooms, notes
deficiencies, and organizes lectures, seminars, and parties held at the association.
He performs the duties of the Secretary in his absence.
Article: 23 - The Administrative Board may co-opt members whom it deems competent, provided their number does not exceed
three, and they do not have the right to vote on decisions.
Article: 24 - The Administrative Board may form various subcommittees to achieve the association's goals, provided that
these committees submit their recommendations to the Administrative Board to issue decisions related to them.
Article: 25 - The Administrative Board may elect an honorary president for the association from among those who have provided valuable services to the association after
the approval of the General Assembly.

Article: 26 - Meetings of the Administrative Body shall be legal with the presence of a majority of members, and in the event of failure to obtain
a quorum, the meeting shall be postponed to another time specified for this purpose, provided that all members are notified by
the secretary of the new date.

Article: 27 - If a member of the Administrative Body fails to attend three consecutive meetings without a legitimate excuse, the Administrative
Body may issue the necessary decision considering them resigned and inviting the reserve member who received the majority of
votes after the Administrative Body votes to fill the vacant membership.
Article: 28 - Records -
The Administrative Body shall maintain the following records: -
1 - Members' Register: containing the name of every member in the association and its branches, their profession,
age, nationality, place of residence, and date of joining the association; it shall be maintained by -
the secretary.
2 - Decisions Register: containing all decisions issued by the General
Assembly and the Administrative Body, provided it is signed by members of the Administrative Body
and maintained by the secretary.
3 - Accounts Register: containing the revenues and expenditures of the association,
provided it is certified by the notary public, and the treasurer shall be
responsible for its maintenance.
Property and Furniture Register: containing all movable and immovable property
belonging to the association, and it shall be in the custody of the administrative manager.
Incoming and Outgoing Correspondence Register: for which the secretary shall be responsible.
Article: 29 - A - The Administrative Body has a disciplinary character regarding association members and has, by virtue of this right,
the authority to conduct an investigation with any member who commits a violation of the association's bylaws or instructions issued by
the Administrative Body, or when committing any act that damages the association's reputation or obstructs its work.
After completing the investigation, it may issue the following penalties against the member whose
violation is proven, depending on its degree of importance.
1 - Notice: which shall be by sending a written letter directly to the member
warning them not to repeat what occurred.
2 - Warning: which shall be by sending a written letter to the member, by which they are warned
that a more severe penalty will be directed at them in case of repetition, provided that a copy of
the letter is posted on the notice board.
3 - Suspension for one month.
4 - Final dismissal from the association's membership; the member who considers
this penalty to be severe against them has the right to object to the dismissal decision before
the General Assembly at its first meeting, and the General Assembly's decision
shall be final in this regard.
B - Penalties mentioned in items (1 - 2 - 3) shall be issued by a majority vote of
the Administrative Body, while the penalties mentioned in item (4) must be issued
by a two-thirds majority vote of the aforementioned body.
Article: 30 - The provisions of the Associations Law shall apply in cases not mentioned in these bylaws.
Article: 31 - If the association is dissolved voluntarily or judicially, the provisions of the Law of
Associations regarding the liquidation of its assets shall be observed, and what remains of the assets as a result of liquidation shall be distributed to charitable societies in the Republic
of Iraq by a decision of the Council of Ministers if the dissolution is judicial, and by the General Assembly
if the dissolution is voluntary, during the same meeting in which the dissolution decision is issued.
