Subject / - Establishing an Association
With reference to your application submitted to us on 21 / 11 / 1954.
Based on the authority vested in us under paragraph (a) of Article Six of the Associations Decree
No. 19 of / 1954, we authorize you to establish an association in Baghdad under the name (Tomchei Torah Association) provided that
you follow the provisions of the aforementioned decree and the internal regulations attached to your application after performing the following in it.
1 - Adding the phrase: and does not exceed 25 Dinars (after the phrase ... not less than 250 fils) mentioned in
paragraph (a) of Article Six thereof. With the addition of the phrase (and does not exceed 120 Dinars) to the end of
the aforementioned paragraph.
2 - Adding the phrase (and the election of the administrative body by the general assembly shall take place in the aforementioned meeting) to
the end of Article Nine thereof.
3 - Replacing the word (five) mentioned in Article 13 thereof with the word (seven).
4 - Replacing the phrase (five years) mentioned in Article 17 thereof with the phrase (one year).
5 - Deleting paragraph (b) from Article 20 thereof.
6 - Adding the phrase (and the amendment shall not be considered effective until after the approval of the Ministry of Interior) to the end of
Article 28 thereof. In addition to the above, we request you to invite the association members to a general meeting within one
month from the date of this letter to elect an administrative body for it as required by Article Seven of the Decree
and the above.

Internal Regulations of the Tomchei Torah Association
Introduction
Chapter One
Article One - These regulations shall be called the Internal Regulations of the Tomchei Torah Association
Article Two - This association has no relation to politics
Article Three - The purposes of this association are to teach Mosaic students the Holy Torah and the principles of religion and Mosaic
jurisprudence
Article Four - The center of the association is the headquarters of the Presidency of the Jewish Community in Baghdad, and it has a special seal with which it stamps all
its transactions.
Article Five - The association consists of the following:
A - The General Assembly
B - The Administrative Board
The General Assembly
Chapter Two
"Article" Six - A member of the General Assembly is considered to be:
A - Every Mosaic person who paid an affiliation fee of no less than 200 fils and no more than 25 dinars
and an annual subscription fee of no less than 500 fils and no more than 120 dinars
B - Anyone who has provided assistance or service to the association and has been granted the right of honorary membership by the Administrative Board.
C - Permanent members are considered to be the President of the Jewish Community in Baghdad and the members of
the Secular Council or whoever takes his place or performs his duties.
Article Seven - A person shall not be a member of the association if they are:
A - Under eighteen years of age
B - Sentenced to bankruptcy and his legal standing has not been restored
C - Under seizure and the seizure has not been lifted
D - Sentenced to imprisonment for a period of no less than one year for a non-political crime or sentenced for
a crime involving honor.
E - Insane or demented.
Article Eight - Membership of a member falls upon the absence of membership conditions for him
"Article" Nine - The General Assembly holds its regular meeting in January of each year at the invitation of the President of
the Administrative Board once to audit its budget. A quorum is considered achieved by the attendance of the majority of
members in regular and extraordinary meetings. When a quorum is not achieved the first
time, the meeting is postponed for fifteen days, and this time the quorum is considered achieved regardless of
the number of members present, provided it is not less than ten. In the mentioned meeting,
the Administrative Board is elected by the General Assembly.
Article Ten - The General Assembly is chaired by the President of the Administrative Board or the Vice President, and in their absence, the members
present shall elect from among themselves someone to chair the meeting. Decisions are taken by a majority of votes, and when votes
are equal, the President has two votes.
"Article" Eleven - The Administrative Board may call the General Assembly to an extraordinary meeting when necessary
or when it receives a written request signed by one-third of the members of the General Assembly.

Chapter Three
Board of Directors
Article Thirteen - The Board of Directors consists of seven members elected by the General Assembly from among its members or from
the founding members, provided that its head is a Rabbi.
Article Fourteen - The Board of Directors meets following its election to elect a Vice President, a Secretary, and a Treasurer
from among its members.
Article Fifteen - The Board of Directors meets under the chairmanship of the President or his deputy, and is considered convened if three
of its members attend. Decisions are made by a majority of those present, and in the event of a tie, the President has two votes.
Article Sixteen - The Board of Directors shall keep a special book in which it records its decisions and the minutes of its sessions, and it must
keep other records required by law.
Article Seventeen - The term of the Board of Directors is one year. If the number of its members decreases due to resignation or
for other reasons, the Board of Directors elects another member in his place from those designated in Article - 13 -
within a period not exceeding one month.
If three members of the Board of Directors resign at once consecutively, the Board is considered dissolved,
and the General Assembly meets to elect a new Board of Directors from those designated in Article -
Thirteen - to complete the previous term.
Article Eighteen - If a member is absent for three consecutive sessions without a legitimate excuse, he shall be written to regarding the necessity
of attending the fourth session, and upon his failure to comply, he is considered resigned.
Article Nineteen - Functions of the Board of Directors
a - Carrying out the work of the association in accordance with its objectives stipulated in these regulations
b - Appointing and dismissing employees, teachers, and students, and increasing or decreasing their salaries in accordance
with the budget.
c - Spending within the limits of the budget.
Chapter Four
Association Funds
Article Twenty - Financial resources relied upon by the association
a - Membership fees and annual subscription fees
b - Its properties and endowments
Article Twenty-One - The association owns such immovable property as it may adopt as its headquarters and what
is required to achieve its purposes and management.
Article Twenty-Two - The association has a legal personality and it may dispose of movable and immovable property like a
owner disposes of his property.
Article Twenty-Three - The association's money is kept in one of the banks determined by the Board of Directors in the name of
the association, and it is not permissible for more than what the Board of Directors decides to remain in the association's fund.
Article Twenty-Four - Instruments and withdrawal papers are signed by the President of the Board of Directors and the Treasurer
jointly. As for receipts, they are signed by the Treasurer alone and stamped
with the association's seal. Withdrawal is carried out by a decision of the Board of Directors for the purposes of this
association.

Chapter Five
Article Twenty-Five - Miscellaneous Materials
The Association is represented by the President of the Administrative Board, who is authorized to sign all correspondence
and handle official transactions in government departments, courts, and official
and unofficial councils of all kinds. In the absence of the President due to his absence
or inability to perform the presidency, his deputy shall act in his stead.
Article Twenty-Six - The Administrative Board shall issue an annual report including revenues, expenditures, and the activities
it has performed, and shall distribute copies thereof to the members of the General Assembly.
Article Twenty-Seven - The Lay Council of the Jewish Community in Baghdad, or whoever takes its place or
performs its duties, has the right to supervise all the Association's activities, decisions, and expenditures, and the
Administrative Board must comply with the decisions of the aforementioned Council.
Article Twenty-Eight - This Bylaw is subject to amendment and change whenever necessity arises, as stated in paragraph
(d) of Article - 12 - of this Bylaw, by a decision of two-thirds of the members present in
a meeting held by the General Assembly, provided that this amendment is endorsed by the Lay
Council or whoever takes its place or performs its duties. The amendment shall not be considered effective until after
the approval of the Ministry of Interior.
Article Twenty-Nine - This Association shall not be dissolved except by a decision of two-thirds of the members present in a meeting held by
the General Assembly, and this dissolution decision shall not be considered effective unless endorsed by a decision from
the Lay Council or whoever takes its place.
Article Thirty - Upon the dissolution of the Association, all its properties, including movable and immovable assets, shall be handed over to
the administration of the Jewish Community in Baghdad.
